Subscriber Organization Agreement — Terms & Conditions

List of Terms
1. Community Solar Act — The New Mexico Community Solar Act, NMSA 1978, Sections 62-16B-1 through 62-16B-8, as enacted by Laws 2021, Chapter 84 (Senate Bill 84).
2. Community Solar Bill Credits — The monetary value of the electricity generated by the Community Solar Facility allocated to a Subscriber and applied as a credit to the Subscriber's utility bill.
3. Community Solar Facility — A solar energy facility that participates in the Community Solar Program and provides Community Solar Bill Credits to its Subscribers through the qualifying utility.
4. Community Solar Program — The program established pursuant to the Community Solar Act and administered by the New Mexico Public Regulation Commission that allows Subscribers to receive Community Solar Bill Credits from a Community Solar Facility.
5. Subscriber — A qualifying retail customer of PNM who has entered into an agreement with a Subscriber Organization for a Subscription to a Community Solar Facility and who receives Community Solar Bill Credits.
6. Subscription — An interest in a Community Solar Facility that entitles the Subscriber to receive Community Solar Bill Credits associated with a proportional share of the electricity output of the Community Solar Facility.
7. Subscriber Aggregator — A person or entity that acts as an agent for a Subscriber Organization to recruit and enroll Subscribers in a Community Solar Facility.
8. Subscriber Organization — The entity that owns or operates the Community Solar Facility and is responsible for the management of the Community Solar Facility and for the allocation of Community Solar Bill Credits to Subscribers.
9. Subscription Manager — A person or entity that manages Subscriber enrollments, Subscriber accounts, and interactions with the qualifying utility on behalf of the Subscriber Organization.

Data Privacy Policies
Definitions
PNM — Public Service Company of New Mexico, the qualifying utility for the Community Solar Program.
Subscribed Energy — The portion of the Community Solar Facility's energy output allocated to a Subscriber under their Subscription.
Subscriber — A qualifying retail customer of PNM who has entered into an agreement with a Subscriber Organization for a Subscription to a Community Solar Facility.
Subscriber's Account Information — Information pertaining to the Subscriber's utility account, including name, account number, service address, meter number, and billing information.
Subscriber's Energy Usage Data — Data related to the Subscriber's energy consumption collected by PNM from the Subscriber's meter(s), including interval data and historical consumption data.
Unsubscribed Energy — The portion of the Community Solar Facility's energy output that is not allocated to any Subscriber.
Overview
This Exhibit describes how Subscriber Account Information and Energy Usage Data will be exchanged, used, accessed, and retained under the New Mexico Community Solar Program. PNM and the Subscriber Organization are committed to protecting the privacy and security of Subscriber information in accordance with applicable laws and regulations.
1. How Subscriber's Account Information and Energy Usage Data Will Be Exchanged
a. Subscriber Specific Information. PNM and the Subscriber Organization will exchange Subscriber-specific Account Information and Energy Usage Data as necessary for the administration of the Community Solar Program. This includes, but is not limited to: (i) verification of Subscriber eligibility; (ii) calculation and application of Community Solar Bill Credits; (iii) Subscription management, including enrollment, changes, and termination; and (iv) billing and payment processing. All exchanges of Subscriber-specific information will be conducted through secure electronic means and in compliance with applicable data protection regulations.
b. Aggregated Subscriber Information. PNM and the Subscriber Organization may compile and exchange aggregated Subscriber information that does not identify individual Subscribers. Aggregated information may include total Subscribed capacity, total energy output allocated, total Community Solar Bill Credits applied, and summary statistics of Subscriber participation. Aggregated information may be used for regulatory reporting, program evaluation, and public disclosure as required or permitted by the New Mexico Public Regulation Commission.
2. How Subscriber's Information Will Be Used
a. Program Management. Subscriber Account Information and Energy Usage Data will be used by PNM and the Subscriber Organization solely for the purposes of administering the Community Solar Program, including: enrollment processing, Subscription allocation and management, Community Solar Bill Credit calculation and application, billing and payment processing, customer service and dispute resolution, regulatory compliance and reporting, and facility and program performance monitoring.
b. Public Reporting. Aggregated, non-identifying Subscriber information may be disclosed publicly as required by the New Mexico Public Regulation Commission for oversight of the Community Solar Program. Public reports will not contain information that could reasonably be used to identify individual Subscribers or their specific account information, energy usage data, or Community Solar Bill Credits.
c. Prohibited Reporting or Sharing. Neither PNM nor the Subscriber Organization shall sell, lease, or otherwise provide Subscriber Account Information or Energy Usage Data to any third party for marketing, advertising, or any purpose unrelated to the administration of the Community Solar Program, except: (i) as required by law, regulation, or order of the New Mexico Public Regulation Commission; (ii) with the Subscriber's express written consent; or (iii) to agents, contractors, or service providers who require access to perform services directly related to the Community Solar Program and who are bound by confidentiality obligations.
3. Subscriber Data Access and Correction
a. Information Available from PNM. Subscribers may request from PNM a copy of their Account Information and Energy Usage Data that PNM has shared with the Subscriber Organization under the Community Solar Program. Subscribers may also request that PNM correct any inaccuracies in their Account Information. PNM shall respond to such requests within a reasonable time.
b. Information Available from the Community Solar Subscriber Organization. Subscribers may request from the Subscriber Organization a copy of any Subscriber information the Subscriber Organization maintains. Subscribers may also request that the Subscriber Organization correct any inaccuracies. The Subscriber Organization shall respond to such requests within a reasonable time and shall coordinate with PNM as necessary to ensure accuracy of Subscriber records.
4. Data Retention
PNM and the Subscriber Organization shall retain Subscriber Account Information and Energy Usage Data for the duration of the Subscriber's participation in the Community Solar Program and for a period thereafter as required by applicable law, regulation, or order of the New Mexico Public Regulation Commission. Upon expiration of the retention period, Subscriber information shall be securely destroyed or de-identified in accordance with applicable data protection standards.

Subscriber Organization — The entity that owns or operates the Community Solar Facility and is responsible for the management of the Community Solar Facility and for the allocation of Community Solar Bill Credits to Subscribers.
